Article I: Terms of Employment
1.01 Subject to the provisions of Article VII and Article VIII, and upon the terms and subject to the conditions set forth herein, Midland Oil and Gas Seek to employ your services as an expatriate for the provision of expatriate services as stipulated in the following acts in this document, job location is Scotland United Kingdom this document embodies the approved Terms for the purpose of this contract. Midland oil and Gas will employ Employee for a period of 24 months (two years) beginning June 19, 2009 ( July 27, 2009) and continuing thereafter, subject to termination in accordance with the provisions of Article VII hereof. (The period during which Employee is employed hereunder is referred to herein as the term of employment.”)

Article II: Duties
2.01 During the term of employment, Employee will:
(ii) Use his / her best efforts to promote the interests of Midland Oil and Gas and devote his full time and efforts to its business and affairs
(ii) Perform such duties as Midland Oil and Gas may from time to time assign to him / her.
(iv) Serve in such other offices of Midland Oil and Gas as he / she may be elected or appointed to and
(v) Be located at the corporate headquarters of Midland Oil and Gas in Scotland.


Article III: Regular Compensation
3.01 Midland Oil and Gas will compensate Employee for the duties performed by him hereunder, by payment of a base salary at the rate of GBP pound64,800.00 (Sixty Four Thousand Eight Hundred Great Britain Pounds) –Basic (Tax exclusive) per annum, payable in equal installments, which Midland Oil and Gas shall pay at monthly intervals to the tune of GBP pound5,400.00 (Five Thousand Four Hundred Pounds) –Basic (Tax exclusive), subject to customary withholding for federal, state and local taxes.

3.02 Midland Oil and Gas may at any time increase the compensation paid to Employee under this Article III if Midland Oil and Gas in its sole discretion shall deem it advisable so to do in order to compensate him / her fairly for services rendered to Midland Oil and Gas. Employees salary will be reviewed every twenty-four (24) months and will not be reduced, except with Employees consent or in the event that there is a reduction in the salary of all key management employees of Midland Oil and Gas at Employees level.

Article IV: Bonuses
4.01 Employee will be entitled to a sign-on bonus of Ten Thousand Pounds (GBP pound10,000.OO), payable upon commencement of his / her employment under this Agreement. Employee will be paid this sign-on fee of Ten Thousand Pounds (GBP pound10,000.OO) once his / her Valid United Kingdom papers have been certified ready and endorsed by the Home Office. Note that sign-on fee will only be paid to employee once it is confirmed from appropriate authorities that employee has procured all his / her needed valid United Kingdom papers which he / she needs before he / she can be recognized and fully registered as a skilled worker in United Kingdom.
4.02 Employee will be eligible to participate in Midland Oil and Gas yearly incentive program currently under development. This program is expected to utilize Midland Oil and Gas restricted stock and include performance-based vesting. In addition, Employee will be eligible for participation in other long- term incentive plans consistent with every other Midland Oil and Gas Employees at his level.
4.03 Employee will be eligible during the term of employment to participate in Midland Oil and Gass Annual Incentive Plan, or any successor plan, in accordance with the terms and conditions of the Plan established from time to time. Employee shall be eligible for a target annual bonus equal to one hundred percent (100) of his base salary up to a maximum bonus equal to one hundred fifty percent (150) of his base salary. The actual award, if any, shall be determined by Midland Oil and Gas and shall be based on profits, Employees individual performance, and management discretion, provided however that Employee shall be guaranteed a minimum bonus for calendar year 2009 equal to fifty percent (50) of his base salary.

Article V: Midland Oil and Gas Stock
5.01 As soon as administratively feasible after full execution of this Agreement, Midland Oil and Gas will use its best efforts to have the Management Human Resources Committee ( MHRC ) grant to Employee some shares of Midland Oil and Gas Common Stock which will be subject to a one-year vesting restriction from their date of grant.

5.02 As soon as administratively feasible after full execution of this Agreement, Midland Oil and Gas will use its best efforts to have the MHRC grant to Employee options to purchase shares of Midland Oil and Gas Common Stock, which will be subject to all the terms and conditions of the Midland Oil and Gas Stock Incentive Plan.

Article VI: Other Employment Benefits
6.01 Employee shall be eligible to participate in such other employee benefits as are available from time to time to other Employees of Midland Oil and Gas in accordance with the then-current terms and conditions established by Midland Oil and Gas for eligibility and employee contributions required for participation in such benefits opportunities.

6.02 Employee will be entitled to a minimum of twenty-five (25) days of paid time off per annum (exclusive of holidays), in accordance with Midland Oil and Gas policies and procedures, to be taken in such amounts and at such times as shall be mutually convenient for Employee and Midland Oil and Gas.

6.03 Employee shall be reimbursed for all reasonable out-of-pocket expenses actually incurred by him / her in the conduct of the business of Midland Oil and Gas provided that Employee submits all substantiation of such expenses to Midland Oil and Gas on a timely basis in accordance with standard policies of Midland Oil and Gas.

6.04 Employee shall be entitled to an annual automobile allowance of Five Thousand Pounds (GBP pound5,000) per year, payable monthly in accordance with Midland Oil and Gas standard procedures.

6.05 Employee shall be entitled to an annual housing allowance of Seven Thousand Pounds (GBP pound7,000) per year, payable monthly in accordance with Midland Oil and Gas standard procedures.

6.06 Employee shall be entitled to a club allowance of up to Seven Thousand Pounds (GBP pound7,000) per year, as well as reimbursement for joining fees for up to two clubs, provided that Employee submits substantiation in accordance with standard policies of Midland Oil and Gas.

6.07 Employee shall be eligible to participate in the Employee Medical plus Plan.

6.08 Employee shall be entitled to an annual financial planning allowance of Five Thousand Five Hundred Pounds (GBP pound5,500) per year.

6.09 Employee is to procure all necessary visas and valid papers needed by him / she to assume his / her job designation at an expenses payable by him / her, Employee shall be reimbursed for all reasonable out-of-pocket expenses actually incurred by him / her in the process of obtaining his / her valid Great United Kingdom papers and all necessary visas. However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel / entertainment allowance by employer the moment the employees valid United Kingdom papers are confirmed from the appropriate authorities. Employer shall also take care of employees travel ticket including that of employees family only on employees early notification to employer that he / she are relocating with his / her immediate family. It is understood that this Agreement is subject to all appropriate from authorizations being obtained.


Article VII: Termination
7.01 Midland Oil and Gas may terminate the employment of Employee hereunder:

(i) At any time after the second anniversary of the Commencement Date, by giving Employee notice in writing at any time specifying a termination date not less than twelve (12) months after the date on which such notice is given, in which event Employees employment hereunder shall terminate on the date specified in such notice, or

(ii) At any time after the second anniversary of the Commencement Date, by giving Employee notice in writing at any time specifying a termination date less than twelve (12) months after the date on which such notice is given. In this event Employees employment hereunder shall terminate on the date specified in such notice and Midland Oil and Gas shall thereafter pay him a sum equal to the amount by which twelve (12) month’s salary at his then current rate exceeds the salary paid to him for the period from the date on which such notice is given to the termination date specified in such notice. Such payment shall be made during the period immediately following the termination date specified in such notice, in successive equal monthly installments each of which shall be equal to one (1) months salary at the rate in effect at the time of such termination, with any residue in respect of a period less than one (1) month to be paid together with the last installment.

(iii) During the termination period provided in subsection (i), or in the case of a termination under subsection (ii) providing for a termination period of less than twelve (12) months, for a period of twelve (12) months after the termination notice, Employee will be entitled to receive all employee benefits accorded to him prior to termination under the same terms as if he were actively employed by the Corporation provided, that such benefits shall cease upon such date that Employee accepts employment with another employer offering similar benefits. In addition, Stock Options, Restricted Stock, and SERIP benefits granted to Employee will continue to vest during the twelve-month benefit period referred to above and Employee will continue to be eligible for the annual bonus contemplated by Section 4.01.

7.02 Notwithstanding the provisions of Section 7.01, if Employee obtains other employment (including work as a consultant, independent contractor or establishing his own business) during the period of notice of termination, Employee will promptly notify the Corporation.

7.03 Employee may at any time give notice in writing to Midland Oil and Gas specifying a termination date not less than thirty (30) days after the date on which such notice is given, in which event his employment hereunder shall terminate on the date specified in such notice. Provided however, Midland Oil and Gas may, at its option, upon receipt of such notice determine an earlier termination date. During the notice period, Employee will continue to be an employee, will assist Midland Oil and Gas in the transition of his responsibilities and will be entitled to continue to receive base salary and to participate in all benefit plans for which an employee at Employees level is eligible, but not to receive any bonus award that might otherwise be paid during that period except as otherwise provided herein. Midland Oil and Gas may require that Employee not come in to work during the notice period. In no event, however, may Employee perform services for any other employer during the notice period.

7.04 Notwithstanding the provisions of Section 7.01, Midland Oil and Gas may terminate the employment of Employee hereunder, at any time after the Commencement Date, for Cause. For purposes of this Agreement, Cause means the following:

(i) Any material breach by Employee of any provision of this Agreement (including without limitation Sections 8.01 and 8.02 hereof) upon notice of same by Midland Oil and Gas which breach, if capable of being cured, has not been cured within fifteen (15) business days after such notice (it being understood and agreed that a breach of Section 8.01 or 8.02 hereof, among others, shall be deemed not capable of being cured)

(ii) Employees absence from duty for a period of time exceeding fifteen (15) consecutive business days or twenty (20) out of any thirty (30) consecutive business days (other than on account of permitted vacation or as permitted for illness, disability or authorized leave in accordance with Midland Oil and Gass policies and procedures or applicable law) without the consent of the Midland Oil and Gas Board of Directors

(iii) Misappropriation by Employee of funds or property of Midland Oil and Gas or any attempt by Employee to secure any personal profit related to the business of Midland Oil and Gas (other than as permitted by this Agreement) and not fairly disclosed to and approved by the Midland Oil and Gas Board of Directors

(iv) Fraud, gross negligence, or willful misconduct on the part of Employee in the performance of his duties as an employee of Midland Oil and Gas

(v) A felony conviction of Employee or

(vi) Employees engaging, during the term of employment, in discrimination or harassment based on age, sex, race, religion, disability, national origin or any other protected category in violation of Midland Oil and Gass policies.
Upon a termination for Cause, Midland Oil and Gas shall pay Employee his salary through the date of termination of employment, and Employee shall not be entitled to any bonus with respect to the year of termination, or to any other payments hereunder.

7.05 Employee may terminate his employment with the Corporation for Good Reason by giving the Company written notice of the termination, setting forth in reasonable detail the specific conduct of the Company that constitutes Good Reason. A termination of employment by the Employee for Good Reason shall be effective on the 21st business day following the date the notice is given, unless the Corporation cures the conduct giving rise to Good Reason prior to that date.
